1) Operator and Brokerage Disclosure

SLC Agent Match is operated by SLC Agent Match LLC. The Service may connect you with real estate licensees affiliated with New Place Realty. New Place Realty does not own or operate this website or Service.

2) What the Service Does

The Service helps consumers identify and connect with real estate agents and/or brokerages. Depending on the version of the Service, we may:

• collect information you provide about your needs and preferences,
• email you a curated shortlist of agents, and/or
• display agents to you automatically based on the information you provide.

3) No Agency Relationship With Operator

Using the Service does not create a real estate agency relationship, broker-client relationship, fiduciary relationship, or duty of representation between you and the Operator or New Place Realty.

Any representation in a real estate transaction will be provided by the independent agent/brokerage you choose, under separate agreements between you and that agent/brokerage.

4) Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You agree that information you submit is accurate and that you will not submit information on behalf of someone else without permission.

5) Matching, Ranking, and Automatic Agent Display

We use the information you submit (for example: buying vs. selling, location, timeline, property type, and preferences) to identify agents who may be a fit.

Important notes:

• Informational only. Matches and displayed agents are provided for informational purposes and convenience.
• No guarantees. We do not guarantee suitability, performance, pricing, availability, or outcomes.
• Automatic display. In some versions, agents may be shown instantly. The agents shown may be curated, rotated, ranked, grouped, or otherwise organized by the Service.
• Your choice. You are free to choose any agent you want, whether or not shown through the Service.

6) Communications and Consent

By providing contact information or submitting an inquiry, you consent to receive communications from us and/or from agents or brokerages you are matched with, which may include emails, phone calls, and text messages, consistent with your selections and permissions.

Message/data rates may apply for texts. You can opt out of marketing emails via the unsubscribe link where provided. To stop texts, reply STOP (or follow the instructions in the message).

We do not guarantee the timing, frequency, or delivery of communications.

7) Referral Fees and Compensation

If you work with a participating agent and a transaction closes, the Operator may receive a referral fee, paid through the Operator's affiliated brokerage where required.

8) Independent Third Parties

Agents and brokerages are independent third parties. We do not employ, supervise, or control them, and we are not responsible for their services, conduct, advice, representations, transaction outcomes, or disputes.

Any issues regarding an agent's services should be addressed directly with that agent/brokerage and/or the relevant licensing authority.

9) Your Responsibilities

You agree:

• to use the Service for lawful purposes only,
• not to misrepresent your identity or situation,
• not to interfere with the Site's operation (including scraping, probing, or reverse engineering),
• not to submit spam, fake inquiries, or harass others.

You are responsible for verifying agent licensing, experience, and fit, and for reading and understanding any agreement you sign with an agent/brokerage.

10) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant the Service will be accurate, uninterrupted, secure, or error-free.
• We do not guarantee that any agent will respond, that you will receive any specific number of matches, or that any transaction will occur.

Real estate decisions can involve significant financial risk. Consider consulting appropriate professionals (real estate, legal, tax, financial).

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED $100 OR THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12) Indemnification

You agree to indemnify and hold harmless the Operator and its owners, officers, employees, contractors, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, your violation of any law or third-party rights, or disputes between you and an agent/brokerage.

13) Intellectual Property

We own (or license) the Site and its content, including text, graphics, branding, and software. You may not copy, distribute, modify, or create derivative works from the Service without our written permission, except as allowed by law.

14) User Submissions

If you submit feedback or other content to us, you grant us a non-exclusive, worldwide, royalty-free license to use it to operate and improve the Service.

15) Privacy

Our collection and use of personal information is described in our Privacy Policy. The Privacy Policy is incorporated into these Terms.

16) Termination

We may suspend or terminate your access to the Service at any time if we believe you violated these Terms or misused the Service. You may stop using the Service at any time.

17) Changes to the Service or Terms

We may update the Service and these Terms at any time. We will update the “Last Updated” date when changes are made. Continued use means you accept the updated Terms.

18) Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to jurisdiction there.
